Royal Cushion Vinyl Products Ltd-has informed BSE that the meeting of the Board of Directors of the Company is scheduled on 01/09/2026 ,inter alia, to consider and approve 1. the date, time, venue/mode and notice for convening the AGM to be held on Tuesday, September 29th, 2026. 2. the draft Director''s report and related items. 3. Pursuant to the Scheme of Arrangement in the nature of merger / amalgamation of Royal Spinwell and Developers Private Limited with Royal Cushion Vinyl Products Limited and their respective shareholders and creditors under Section 230 to 232 and other applicable provisions of the Companies Act, 2013 ('Act'), sanctioned by the NCLT, Mumbai Bench vide its Order dated July 28, 2026,a. proposed issue and allotment of 41,17,160 listed equity shares of the Company of Rs. 10/- each, fully paid-up, to the members of the Transferor Company in accordance with the Scheme; and b. approval of the terms and conditions of, and proposed issue and allotment of 84,99,592 unlisted ('NCRPS') of the Company of Rs. 10/- each, fully paid-up, to the members of the Transferor Company in accordance with the Scheme.
