(601995“China International Capital Corporation Limited”Announcement on Suspension of Planning Major Asset Restructuring)
China International Capital Corporation Limited is planning to implement a share exchange absorption merger with Dongxing Securities Co., Ltd. and CINDA Securities Co., Ltd. by issuing A-shares to all A-share exchanging shareholders of Dongxing Securities and all A-share exchanging shareholders of CINDA Securities respectively. In view of the significant uncertainty surrounding the above-mentioned matters, in accordance with relevant regulations and upon the company's application, the company's A-shares will suspend trading from the opening of the market on November 20, 2025. This restructuring involves an A+H share dual-listed company simultaneously absorbing and merging two A-share listed companies, involving numerous matters and a relatively complex process. Pursuant to the relevant provisions of the Shanghai Stock Exchange, the expected suspension period will not exceed 25 trading days.
