01 Good morning, ladies and gentlemen, and welcome to the BPMARTIAN PARTNERS PLC Annual General Meeting. I would now like to hand you over to the board from BPMARTIAN Partners. Rebecca, good morning. Thank you very much. To our shareholders and visitors, I'd like to welcome you to the BPMARTIAN PARTNERS PLC Annual General Meeting. I'm Rebecca Shelley, the Non Executive Chair of BPMARTIAN PARTNERS PLC and Chair of this meeting. I would also like to introduce Dan Topping, our Chief Executive Officer Barry Cornes, our new Non Executive Director and Ruth Pearson, our Company Secretary. It is now just after 08:30AM, so I will commence. And as we have a quorum, I will now declare the meeting open. I'd like to start the formal proceedings of this Annual General Meeting.

50 The notice of meeting, together with the explanatory notes, was posted to shareholders on the 06/16/2026. Accordingly, the requisite notice of the meeting has been given. Unless anyone objects, I propose that the notice of meeting should be taken as read. To accurately reflect shareholders' views, voting today will be by poll on each resolution. This is best practice as it records votes in proportion to shareholding rather than a show of hands. Before each resolution is put to the vote, a summary and the proxy votes received so far will be shown on the screen. As the poll will take some time to complete, final results including proxy votes will be announced through our regulatory information service and published on our website as soon as reasonably practical.

44 For each resolution, you may vote for, against or withhold your vote. A vote withheld is not a vote in law and will not count in the proportion of votes for or against. Please tick the appropriate box on your poll card for each resolution, then sign and hand your completed card to Ruth Pearson once you voted on all resolutions. Our registrars or Ruth Pearson are happy to assist if needed. I'll deal with the formal business first and take questions afterwards. Thank you. We will now proceed to vote on the resolutions, which I will formally propose to the meeting. The full text of each of the resolutions is set out in the notice of the meeting, a copy of which you will have received.

32 As we've taken the contents of the notice as read, I do not propose to read in full the text of the resolutions unless otherwise requested. Resolutions one through 13 are proposed as ordinary resolutions that require a simple majority to be passed. Resolutions fourteen and fifteen are proposed as special resolutions, which to be passed require a majority of 75% to vote in favor of the resolution. Resolution one, the company proposes the annual report and accounts for the year be received and adopted. Thank you.

21 I declare the poll closed. Subject to confirmation, the resolution is carried. Resolution two, the company proposes to receive and approve the report of the remuneration committee. K. I declare the poll closed. Subject confirmation, the resolution is carried. Resolution three, to approve the final dividend. I declare the poll closed.

07 Subject confirmation, the resolution is carried. Resolution four, to elect Rebecca Shelley as the director of the company. I declare the poll closed. Now the voting is complete, I'd like to invite any questions from the floor. Okay. Thank you. Okay. Thank you, Chairman. Couple of questions regarding two companies. On Page 23, it's PYO PARTNERS, which I understand is not within necessarily our niche.

36 Just looking for more information about how it's developing. Yes. Very much for the question. Well, mean, it's not in the insurance distribution niche, but it is in the wider financial services mandate. And we have seen successes at BPMarch in terms of non insurance distribution investments. But to your question, it's made at least three acquisitions. It's growing significantly. We're pleased with the investment. We're pleased with the management team, and we feel we've got a strong shareholder partner, Janus Henderson, going forward. So generally speaking, it looks very positive. Okay. My final question is regarding Page twenty five, CEE Specialties, definitely within the niche, but I'm aware it's in Continental Europe.

26 How is that developing? Well, again, you won't be surprised to hear that it's doing very well. We're pleased with the investment. Whilst it's on Mainland Europe, as you point out, it's somewhat of a departure from our London and Lloyd's market approach. It does have all its capacity really from either London or specialty insurers. It's focused on marine and financial lines. It is doing well. Whilst it's a relatively recent investment, we think there's significant upside to that investment. So we're pleased to partner with the CEO and are very supportive of what they're doing. Okay. Thank you. There's been no additional questions online. Thank you. Great. Thank you. And many thanks for coming today. And as there's no further business on the agenda, I declare the AGM closed.

21 Thank you. Perfect, guys. That's great. On behalf of the Board of BPMARSH and PLC, we would like to thank you for attending today's Annual General Meeting. That now concludes the session online. So good morning to you all. Thank you.
