Other Relevant Information
Shakey's Pizza Asia Ventures, Inc.'s ("PIZZA" or the "Company") Board of Directors (the "Board") approved the subscriptions of the following subscribers with details below:
1. JE Holdings, Inc.'s subscription to 152,439,025 PIZZA common shares at the subscription price of Php 8.20 per share, for a transaction value of Php 1,250,000,005.00; and
2. Mr. Lance Gokongwei subscription to 100 PIZZA common shares at the subscription price of Php 7.93 per share, for a transaction value of Php 793.00.
The said shares were issued to JE Holdings Inc, and Mr. Gokongwei on August 6, 2021 and August 9, 2021, respectively.
Please refer to C03290-2021 dated May 12, 2021 for the relevant disclosure.
As of April 1, 2022, the Company has complied with all the applicable requirements for the listing of the said shares. The number of PIZZA's listed common shares will be accordingly adjusted on listing date.
