Oxford, UK – 4 November 2026: NIOX Group plc (AIM: NIOX) a medical device company focused on point-of-care FeNO testing for the diagnosis, monitoring and management of asthma and COPD, confirms the Directors participation in the Company’s Tender Offer announced on 29 September 2026 and their resulting interests in the Ordinary Shares of the Company.
Each of the Directors elected to participate in the Tender Offer in respect of their Basic Entitlements.

Related Party Transaction Update
On 22 October 2026, the Company announced that Harwood Capital, a substantial shareholder in the Company as defined by the AIM Rules, had tendered at least its Basic Entitlements in the Tender Offer and that this was deemed to constitute a related party transaction under AIM Rule 13. The Company has now been notified that Harwood Capital tendered 4,336,495 Ordinary Shares in the Tender Offer.
As previously stated, the independent Directors, having consulted with the Company's nominated adviser Singer Capital Markets, consider that the terms of the transaction are fair and reasonable insofar as Shareholders are concerned.
