Tialis Essential IT: Cancellation of Share Premium Account

· Issued by Tialis Essential IT PLC

Summary by 6ix AI

Tialis Essential IT plc, a mid-market IT managed services provider listed on AIM (the London Stock Exchange's growth market), said the Court of Session in Scotland has confirmed a reduction of its capital. Once effective, it will cancel the sum standing to the credit of its share premium account and all of its issued and fully paid-up deferred shares.

Key details

  • A share premium account holds money received for shares above their nominal (face) value.
  • Deferred shares are a separate class of shares. The court confirmed that all of the company's issued deferred shares will be cancelled and extinguished.
  • Shareholders approved the Reduction of Capital by special resolution at the Annual General Meeting held on June 22, 2026.
  • The company says the purpose is to create additional distributable reserves, meaning reserves from which it may make distributions. It says these would give it flexibility for future share buybacks, dividends and other distributions where the Board considers appropriate and where the Companies Act 2006 permits.

What’s still pending

  • The Reduction of Capital becomes effective only when the court order is registered at Companies House, the UK company registry. This is expected to occur in the next few days.
