However, all questions will be reviewed with responses published on the investment company platform where it's appropriate to do so. I'd now like to hand you over to to the executive chairman, Tim McCarthy. Good morning to you, sir. Good morning. Thank you very much for the

33 introduction. Good morning, everybody, who are dialing in, and good morning to shareholders and guests here in the room with us today. It's it's really nice to see real life people in a room again after all the, travails of COVID over the last couple of years. So, it's formally, I can open the meeting as we are it's 11:00, so I'm opening the meeting. We have a quorum with more than two members present so we can carry on with the AGM. So the the the, format for today is that we'll run through the formal business of the AGM. At this point, I would ask if there are any questions formally on the resolutions to be voted on. We will have a more general q and a at the end of the session, which for those of you who are diving in, you can use the platform to, type in, your messages and your questions, which the board will answer.

28 And, of course, people in the room here, if you wish to answer any questions, ask any questions, then clearly, we can also take those as well. So I don't see any messages on my screen at the moment in terms of questions on resolutions themselves. I'll just ask the room, is there any questions, clarification on the resolutions before we start? No? Okay. So with no questions on resolutions themselves, I'm going to formally read through the resolutions and take votes. So if my head dips everywhere, guess I'm reading from a script, please forgive me. So let's go straight into resolution one. Resolution one is an ordinary resolution for the company to receive the accounts of the company for the year ended 03/31/2022 together with the report of the directors and auditors of the company.

20 So at this point, for those members in the room, can I ask for those to raise your hands in favor of the resolution? Any against? No. Any abstentions? No. So that's a unanimous vote for. So I can say that resolution one has been passed as an ordinary resolution. For the record, I have received proxy votes in respect to 41,103,185 ordinary shares in favor of resolution one and no votes against and no abstentions. So we move to resolution two. This concerns the reelection of Caroline Murray, who was appointed during the year, and be a knowledgeable officer self reelection as a director. So, again, if I can turn to the members in the room, can I have a show of hands for in favor of the resolution?

15 Anybody against? Any abstentions? No. That's unanimously passed. So that's unanimously passed as an ordinary resolution. And, again, for the record, I have received proxy votes in respect of 41,103,100 and ordinary shares in favor and no res no votes against the resolution and no abstentions. Moving on to resolution three. This is an ordinary resolution to reappoint Jeffries Henry as auditor of the company. Again, kindly turn to the room, ask the members present raise their hands in favor of the resolution. Any against? Any abstentions? No. Once again, that's a unanimous approval. So resolution three has been passed as an all new resolution.

02 And for the record, I have received proxy votes in respect to 41,103,185 ordinary shares in favor. Resolution three, none against and no extensions. Resolution four is an ordinary resolution authorizing directors to allot relevant securities to an aggregate nominal amount of £296,331. So, again, turning to the room. Can I have a show of hands for those in favor? Any against? Any abstentions? Once again, unanimous result in the room, so I can declare the resolution four has been passed as normally resolution. Again, for the record, I have received proxy votes in respect of 40,000,813,245 ordinary shares in favor of resolution four and two hundred and eighty nine thousand nine hundred and forty against the resolutions with no extensions.

57 Passing on to resolution five, this is a special resolution Empowering the directors to allot equity securities pursuant to the authority confirmed on them by the previous resolution four was if the preemption rights in section five six one of the Companies Act 2006 did not apply. Provided this power is limited to the allotment of equity securities as set out in the notice. So again, members in the room, if I can ask for those in favor. Any against? Any abstentions? No. Once again, that is unanimously passed. Again, for the record, I have received proxy votes in respect of 33,163,245 ordinary shares in favor of resolution 5 and 7,939,940 against the resolution with no abstentions.

48 That brings us to the end of the formal business of the meeting. So at this point, I would like to open it up to more general q and a. Obviously, to anybody in the room here or if anybody who is listening in on the link would like to put questions on the board, then we will take those. I don't see any at the moment, certainly on the board. So I'll just ask the members in the room. Any questions from anybody generally?

26 Okay. Questions. Maybe that's it. Yeah. Okay. Fine. Ah, nope. So there's no questions in the room, and, I can't see any questions on the board at the moment. So I'll just wait for for one more moment, one more minute, just in case somebody's typing, just to give everyone the opportunity. So if you bear with us for a moment. No. Unless it's a particularly long answer that someone's or or question that somebody's typing out, I'm going to take it that there aren't any questions to be asked. So let me thank you all, all of you taking the time to to dial in through the link.

31 And and for everyone here in the room, thank you very much for your attendance. We we've come to the formal end of the meeting, so I formally declare it closed. So I'm gonna hand back to the guys at INC just to to wrap up the proceedings, if I may. Thank you very much for updating attendees today. Could I please ask attendees not to close the session as you now be automatically redirected to provide your feedback in order that the board can better understand your views and expectations? This will only take a few minutes to complete, but I'm sure it'll be greatly valued by the company. On behalf of the board of INCANTHERA PLC, we'd like to thank you for attending today's annual general meeting, and good morning to you all.
